1. Acceptance of Terms

By accessing or using Eztate ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use our services.

2. Description of Service

Eztate is a web-based collaboration platform connecting real estate agents, brokers, and dealers in India. We provide:

• Profile and portfolio management
• Property listing feeds
• Agent directory and search (Pro plan users)
• Direct and group messaging (Pro plan users)
• Community creation and joining (Pro plan users)
• File storage and sharing
• Analytics and insights

3. User Accounts

Registration:

• You must provide accurate, current, and complete information
• You must be 18 years or older to create an account
• You are responsible for maintaining account confidentiality
• You must notify us immediately of unauthorized access

Account Types:

• Free: List up to 2 properties, basic profile, browse feeds (₹0)
• Pro: 20 property listings, full directory access, messaging, communities, 5GB storage (₹1,999/month)
• Enterprise: Custom solutions, API access, dedicated support (Contact sales)

4. User Responsibilities

You agree to:

• Use the Platform for lawful real estate business purposes only
• Provide accurate property and professional information
• Not impersonate others or misrepresent your credentials
• Not upload malicious software, spam, or inappropriate content
• Not scrape, harvest, or collect user data without permission
• Respect intellectual property rights of others
• Comply with all applicable Indian real estate laws and regulations

5. Prohibited Activities

You may NOT:

• Post false, misleading, or fraudulent property listings
• Harass, threaten, or abuse other users
• Use the Platform for illegal activities
• Attempt to gain unauthorized access to systems
• Interfere with Platform operation or security
• Create multiple accounts to circumvent limitations
• Sell or transfer your account to others

6. Content Ownership and License

Your Content:

• You retain ownership of content you upload (properties, images, messages)
• You grant us a license to host, display, and distribute your content on the Platform
• You represent that you have rights to all content you upload
• You are solely responsible for your content

Platform Content:

• We own all Platform design, code, features, and branding
• You may not copy, modify, or create derivative works without permission

7. Portfolio and Property Listings

• Property items automatically expire and are deleted after 6 months
• Free users limited to 2 properties
• Pro users limited to 20 properties with 5GB storage
• Enterprise users have custom limits
• You must ensure listings comply with fair housing laws
• We reserve the right to remove inappropriate or fraudulent listings

8. Subscriptions and Payments

Billing:

• Subscriptions automatically renew unless cancelled
• Prices: Free (₹0), Pro (₹1,999/month), Enterprise (custom pricing)
• All payments processed securely through Stripe
• You authorize recurring charges to your payment method

Payment Terms:

• 7-day refund policy applies to initial subscription (see Refund Policy)
• We may change pricing with 30 days' notice
• Failed payments may result in service suspension
• You are responsible for all taxes including GST

9. Cancellation and Termination

By You:

• You may cancel your subscription at any time through account settings
• Cancellation takes effect at the end of the current billing period
• See Refund Policy for refund eligibility within 7 days

By Us:

• We may suspend or terminate accounts for Terms violations
• We may discontinue the Platform with 30 days' notice
• We reserve the right to refuse service to anyone

10. Intellectual Property

All Platform trademarks, logos, and branding are our property. Unauthorized use is prohibited.

11. Privacy

Your use of the Platform is governed by our Privacy Policy, incorporated into these Terms by reference.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

• Uninterrupted or error-free service
• Accuracy of user-generated content
• Success in finding collaborators or closing deals
• Security against all cyber threats

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed amounts paid by you in the past 12 months
• We are not liable for user conduct or third-party content

14. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your content and property listings

15. Dispute Resolution

Governing Law: Laws of India

Arbitration:

• Disputes shall be resolved through binding arbitration in India
• You waive the right to class action lawsuits
• Arbitration conducted under Indian Arbitration and Conciliation Act, 1996

16. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notice. Continued use constitutes acceptance.

17. General Provisions

• Severability: Invalid provisions do not affect remaining Terms
• Waiver: Failure to enforce rights does not constitute waiver
• Assignment: You may not assign these Terms; we may assign to affiliates
• Entire Agreement: These Terms constitute the complete agreement
